Welcome to InvTracker.in. These Terms of Service ("Terms") govern your access to and use of InvTracker.in ("Platform", "Service") provided by InvTracker Technologies Private Limited ("Company", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account and using InvTracker.in, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Service.

2. Eligibility

You must meet the following criteria to use our Service:

• Be at least 18 years of age
• Have legal capacity to enter into binding contracts
• Be a resident of India or have valid authorization to use financial services
• Provide accurate and complete registration information
• Not be prohibited from using the Service under Indian law

3. Account Registration and Subscription

3.1 Account Creation

Accounts are created by our team after subscription payment verification. You cannot self-register. To subscribe:

• Select a pricing plan and contact us
• Complete payment through authorized channels
• We will create your account within 24 hours
• You will receive login credentials via email

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring only authorized users access your account

3.3 Subscription Terms

• Subscriptions are billed monthly or annually as per your plan
• Payment must be made in advance for the subscription period
• No automatic renewals - you must manually renew your subscription
• Accounts are disabled upon subscription expiration
• Data is retained for 90 days post-expiration for reactivation

4. Use of Service

4.1 Permitted Use

You may use InvTracker.in to:

• Track and manage your investment portfolio
• Generate performance reports and analytics
• Calculate tax obligations and generate tax reports
• Store investment documents securely
• Collaborate with authorized family members or advisors

4.2 Prohibited Activities

You must NOT:

• Use the Service for any illegal purpose
• Violate any laws or regulations
• Impersonate another person or entity
• Share your account credentials with unauthorized persons
• Attempt to hack, reverse engineer, or compromise the platform
• Upload malicious code, viruses, or harmful content
• Scrape, crawl, or extract data without permission
• Use the Service to harass, abuse, or harm others
• Resell or redistribute the Service without authorization
• Exceed usage limits or abuse system resources

5. Data and Content

5.1 Your Data

• You retain ownership of all data you input into the platform
• You grant us license to process and store your data to provide services
• You are responsible for the accuracy of data you enter
• You can export or delete your data at any time

5.2 Our Content

• All platform code, design, features, and content are our intellectual property
• You may not copy, reproduce, or distribute our content
• You may use reports and analytics generated from your data

6. Fees and Payment

6.1 Pricing

• Current pricing is displayed on our pricing page
• We reserve the right to change prices with 30 days notice
• Price changes do not affect existing subscription periods

6.2 Payment Terms

• All fees are in Indian Rupees (INR)
• Payment must be made before service activation
• We accept bank transfer, UPI, and authorized payment gateways
• All payments are subject to applicable taxes

6.3 Refund Policy

• Refunds are provided at our discretion
• Technical issues: Full refund if we cannot resolve within 7 days
• Dissatisfaction: Pro-rated refund within first 14 days
• No refunds after 30 days of subscription start

7. Service Availability

We strive to provide 99.9% uptime but do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance (with advance notice)
• Make emergency updates or fixes
• Suspend service for abuse, non-payment, or legal reasons
• Modify or discontinue features with reasonable notice

8. Termination

8.1 By You

You may cancel your subscription at any time. No refund for unused portion.

8.2 By Us

We may terminate your account if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or harmful activities
• Abuse or misuse the Service

8.3 Effect of Termination

• Your access will be disabled immediately
• Data is retained for 90 days for reactivation
• After 90 days, data may be archived or deleted
• You may request data export before termination

9. Disclaimers

9.1 Investment Decisions

InvTracker.in is a tracking and analytics tool. We do NOT provide investment advice, recommendations, or financial planning services. All investment decisions are solely your responsibility.

9.2 Data Accuracy

While we strive for accuracy, we do not guarantee that calculations, market data, or third-party information will be error-free. You should verify important information independently.

9.3 Service "As Is"

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, InvTracker Technologies Private Limited shall not be liable for:

• Investment losses or financial decisions based on platform data
• Indirect, incidental, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Service interruptions or technical failures
• Third-party actions or content

Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless InvTracker Technologies Private Limited from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights.

12. Modifications to Terms

We may update these Terms periodically. We will notify you of material changes via email or platform notice. Continued use after changes constitutes acceptance of updated Terms.

13. Governing Law and Disputes

• These Terms are governed by the laws of India
• Disputes will be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra
• We encourage resolving disputes amicably through direct communication
• Arbitration may be used for certain disputes as per Indian Arbitration Act

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Service.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

14.3 Waiver

Failure to enforce any provision does not waive our right to enforce it later.

14.4 Assignment

You may not transfer your rights under these Terms. We may assign our rights to affiliates or successors.
